Terms of Service

These Terms govern access to and use of the NicoSoft Payment gateway, its APIs, webhooks, and administrative console (the “Service”). By creating a Project, calling the API, or accessing the console, you agree to these Terms on behalf of the entity you represent.

01The Service

The Gateway accepts USDT and USDC on supported EVM networks — currently BSC, Polygon, Arbitrum, and Ethereum. It is payment infrastructure, not an exchange, wallet, or investment product, and it does not convert to or from fiat currency.

The Service holds no private key capable of moving End-User funds anywhere other than a pre-configured cold wallet. Receive addresses are derived by pure computation; settled funds are swept in batches.

02Definitions

  • “Gateway” — the NicoSoft Payment infrastructure that derives receive addresses, watches supported chains, and settles stablecoin payments.
  • “Project” — an integrating application identified by a unique appId and authenticated with an appSecret.
  • “Integrator” — the entity operating a Project and calling the API.
  • “Order” — a single payment request with a derived receive address, expected amount, and expiry.
  • “Sweep” — the batched on-chain movement of settled funds to a configured cold wallet.

03Projects and credentials

You are responsible for keeping your appSecret and webhook secret confidential, and for all activity conducted under your credentials. We authenticate requests by signature only and never ask you to transmit your secret. Treat a leaked secret as compromised and rotate it immediately from the console; rotation takes effect at once.

04Acceptable use

  • Comply with all applicable laws, including anti-money-laundering and sanctions rules.
  • Do not use the Service for, or on behalf of, sanctioned persons or jurisdictions, or to process unlawful proceeds.
  • Do not probe, overload, or attempt to circumvent rate limits or security controls.
  • Display the exact receive address and amount returned by the API; never misrepresent an order to an End User.

05Integration responsibilities

  • Verify every webhook signature before crediting a payment.
  • Treat webhook delivery as at-least-once and act idempotently.
  • Handle expiry, underpayment, and overpayment exactly as described in the documentation.
  • Keep End-User personal data out of client_metadata.

06On-chain finality

Blockchain transactions are irreversible. Payments to a wrong network, wrong token, wrong amount, or after expiry may be recorded as orphaned deposits and handled on a best-effort basis; we do not guarantee recovery. The Service offers no chargebacks and no API-initiated refunds.

07Fees

Fees, settlement terms, and supported volumes are set out in a separate commercial agreement between you and NicoSoft. Absent such an agreement, the Service is provided for evaluation only.

08Availability and changes

We aim for high availability but provide the Service on a best-effort basis, and may perform maintenance, throttle abusive traffic, or evolve the API. Breaking changes are versioned, and we give reasonable notice where practical.

09Suspension and termination

We may disable a Project immediately where we reasonably believe it is compromised, unlawful, or a risk to the Service or other Integrators. You may stop using the Service at any time.

10Disclaimers and liability

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied. Nothing here is financial, tax, or legal advice.

To the maximum extent permitted by law, NicoSoft is not liable for indirect, incidental, or consequential damages, or for losses arising from on-chain irreversibility, network conditions, or your integration. Aggregate liability is limited to fees paid for the Service in the three months preceding the claim.

11Changes and contact

We may update these Terms; material changes will be announced through the console or documentation, and continued use constitutes acceptance. Questions: legal@nicosoft.dev.
